This document establishes the Terms of Service for Runway, a generative AI platform that provides video, image, and media generation capabilities. The agreement authorizes Runway to use text prompts submitted by users and AI-generated outputs to train and improve its AI models on a perpetual, irrevocable basis. The agreement also establishes that subscription plans auto-renew at the then-current price each renewal period, with no prorated refunds issued for mid-period cancellations, and permits cancellation through the 'Plans and Billing' section of user accounts.
This Terms of Use Agreement governs all use of Runway AI, Inc.'s services, including its website, hosted services, software applications, games, interactive media experiences, agents, and APIs, and is entered into by clicking 'I Accept,' completing registration, or browsing the services. The agreement states that users grant Runway a non-exclusive, irrevocable, perpetual, worldwide, royalty-free, transferable, sublicensable license to use Inputs and Outputs to train and improve AI models, algorithms, and related products and services; the agreement also authorizes automatic renewal of subscriptions at then-current pricing unless canceled through account settings, and states that no prorated refunds are provided for mid-period cancellations except as required by applicable law. The arbitration clause in Section 16 requires, with limited exceptions, that disputes be resolved through binding individual arbitration, waiving class action participation and jury trial rights, a provision whose enforceability may vary by jurisdiction and regulatory context. The document engages GDPR, CCPA, and FTC Act frameworks given its collection and use of user-generated content and personal data for AI training purposes, and the EU AI Act may require additional evaluation depending on how Runway's generative AI systems are classified under that regulation; COPPA is also engaged by the minimum age requirement of thirteen years, though the terms place compliance responsibility primarily on users and parents rather than establishing affirmative COPPA verification procedures.
