This document governs your use of Marqeta's card payment platform and sets out what both sides must do. As a customer, you take on full financial responsibility for fraud, chargebacks, and card losses, and you must cover Marqeta's legal costs if your breach of the agreement causes a claim against them. Marqeta can change the terms on 30 days' notice, makes no warranties about the platform, and will not compensate you for lost profits or other indirect losses if something goes wrong.
This Agreement establishes the terms under which Marqeta provides its payment card Services, System, and Deliverables to Customer. Marqeta retains all intellectual property rights in the Services, System, Deliverables, and all derivatives thereof, granting Customer no ownership interest. Customer assumes full financial exposure for card-related losses including chargebacks, fraud, and load failures attributable to Customer's acts or omissions, and must indemnify Marqeta, the Issuer, and applicable KYC Service Providers against all Damages arising from Customer's material breach. Marqeta disclaims all warranties and excludes liability for indirect, incidental, consequential, special, exemplary, and punitive damages, while Customer remains liable for all fees through the end of the current term upon termination for any reason other than Marqeta's breach. Both parties waive jury trial rights, Marqeta may modify terms unilaterally on 30 days' notice, and data use is contractually limited to providing and improving the Services, performing Agreement obligations, and fraud screening.
If you are a customer using Marqeta's Services, you bear the full cost of credit losses, chargebacks, and fraud on the Cards, with no allocation of that risk to Marqeta. You are also responsible for all remaining fees for the current term if the Agreement ends for any reason other than Marqeta's breach. Marqeta's use of your Cardholder Data and Transaction Data is limited to providing and improving the Services, fulfilling its Agreement obligations, and fraud screening — it may not use or disclose that data for other purposes. If you become aware of unauthorized access to Cardholder Data, Transaction Data, or Confidential Information, you must notify Marqeta in writing within 72 hours.
