What it is

HubSpot may suspend all or any access to the Subscription Service, with electronic or telephonic notice, if the customer's use is associated with security vulnerabilities, disruptive activity, anomalous usage, or is causing harm to HubSpot or others.

This analysis describes what HubSpot's agreement states, permits, or reserves. It does not constitute a legal determination about enforceability. Regulatory applicability and practical outcomes may vary by jurisdiction, enforcement context, and individual circumstances. Read our methodology

ConductAtlas Analysis

Why it matters (compliance & governance perspective)

This provision authorizes suspension based on operational triggers including anomalous usage patterns and causing harm to HubSpot or others, which are broader in scope than non-payment or defined policy violations; the notice requirement is electronic or telephonic rather than written advance notice.

Interpretive note: The scope of 'causing harm to us or others' in clause (v) is not defined and may be interpreted broadly, creating uncertainty about which customer activities could trigger suspension under this provision.

The updated terms now explicitly state that AI is embedded throughout HubSpot's platform and is foundational to how subscription services operate. The agreement permits HubSpot to use customer data to train AI models, subject to contractual obligations. You can opt out of having your data used to train AI models by updating your settings in your HubSpot account.

ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

1. REGULATORY LANDSCAPE: Suspension provisions based on operational harm engage general commercial contract law and may interact with applicable service level agreement obligations described in the Product Specific Terms. No specific regulatory framework directly governs platform suspension rights in commercial SaaS agreements, though the FTC Act may be relevant if suspension is implemented in a manner that constitutes an unfair commercial practice. 2. GOVERNANCE EXPOSURE: Medium. The 'causing harm to us or others' trigger in clause (v) is broad and subjective, paralleling the reputational harm termination provision in Section 4.3. The anomalous usage trigger in clause (iv) may be activated by legitimate high-volume use cases such as large marketing campaigns or data migrations, creating operational risk for customers with variable usage patterns. 3. JURISDICTION FLAGS: No specific jurisdictional heightened exposure is identified. The provision applies globally to all customers under the agreement. 4. CONTRACT AND VENDOR IMPLICATIONS: Business continuity planning for organizations dependent on HubSpot should account for the possibility of service suspension under this provision. The commercially reasonable limitation on the scope of suspension provides some protection but is not a guarantee of partial service continuity. Legal teams should note that this provision explicitly preserves HubSpot's right to terminate for cause. 5. COMPLIANCE CONSIDERATIONS: IT and security teams should monitor HubSpot account usage for anomalous patterns that could trigger this provision, including unexpected API call volumes, data upload spikes, or unauthorized access indicators. Organizations should maintain contact information current in their HubSpot account to ensure that electronic and telephonic suspension notices are received promptly.
