What it is

You own the data you put into HubSpot, but HubSpot owns its platform software. Importantly, any suggestions or feedback you give HubSpot about improving the service can be used by HubSpot permanently and without paying you.

This analysis describes what HubSpot's agreement states, permits, or reserves. It does not constitute a legal determination about enforceability. Regulatory applicability and practical outcomes may vary by jurisdiction, enforcement context, and individual circumstances. Read our methodology

Why it matters (compliance & governance perspective)

While customer data ownership is clearly protected, the perpetual feedback license means that product improvement ideas, feature requests, and enhancement suggestions shared with HubSpot become HubSpot's intellectual property to use without compensation or attribution.

Consumer impact (what this means for users)

Business customers retain ownership of their CRM data and contact records, but any feedback, feature requests, or suggestions shared with HubSpot, including through customer success conversations or product surveys, may be incorporated into HubSpot's products under a royalty-free perpetual license.

ConductAtlas Analysis

Institutional analysis (Compliance & governance intelligence)

REGULATORY LANDSCAPE: Customer data ownership provisions interact with GDPR, which requires that data subjects retain rights over their personal data regardless of which party 'owns' the data in a contractual sense. The feedback license provision is standard in SaaS agreements and is broadly enforceable in US commercial law. No specific regulatory framework directly governs product feedback licensing, though trade secret and confidentiality considerations may be relevant if feedback discloses proprietary business information. GOVERNANCE EXPOSURE: Low to Medium. The customer data ownership provision is favorable and clear. The feedback license provision is a standard SaaS clause but may warrant attention from customers whose product feedback could disclose competitively sensitive information about their business processes or use cases. JURISDICTION FLAGS: EU customers should confirm that the Customer Data ownership language is consistent with their GDPR controller obligations and does not impair their ability to fulfill data subject access, correction, or erasure requests. The feedback license's perpetual and irrevocable nature does not create jurisdictional issues but should be understood when sharing proprietary methodologies with HubSpot. CONTRACT AND VENDOR IMPLICATIONS: Procurement teams should note that confidential product feedback shared through customer advisory boards, beta programs, or product roadmap discussions is covered by this license. Teams sharing commercially sensitive use cases or workflows with HubSpot should ensure separate NDA protections are in place where appropriate. COMPLIANCE CONSIDERATIONS: Legal teams should review whether internal confidentiality policies adequately address the scope of information employees may share with HubSpot through feedback channels, and whether such sharing is consistent with any third-party confidentiality obligations the customer holds.
