ConductAtlas Analysis

Why it matters (compliance & governance perspective)

The provision establishes D&B's unilateral authority to enforce account access on a discretionary basis without requirement for advance notice or explanation, and establishes post-termination restrictions including a prohibition on account reestablishment for up to one year and user liability for damages arising from termination. This structure concentrates enforcement authority with the service provider and shifts dispute resolution from negotiated process to unilateral action.

Consumer impact (what this means for users)

Users operate under terms permitting D&B to suspend or terminate account access immediately without notice based on D&B's determination of conduct, and face potential one-year prohibition on account reestablishment following termination. Users remain liable for damages D&B determines result from the termination, and D&B retains no obligation to notify third parties of the termination action.
