"Subject to the terms and conditions of the Contract, Customer (for itself and all of its Users) grants us and the Synthesia Extended Family a worldwide, non-exclusive, limited term license to access, use, process, copy, distribute, perform, export and display Customer Data, Custom Avatars and any Non-Synthesia Products created or deployed by or for Customer, only as reasonably necessary (a) to provide, maintain and improve the Services; (b) to prevent or address service, security, support or technical issues; (c) as required by law, to prevent fraud, or as permitted by the Data Request Policy; and (d) as expressly permitted in writing by Customer.Excerpt from Synthesia's Terms of Service
1. REGULATORY LANDSCAPE: The data license grant engages GDPR and UK GDPR requirements for lawful basis of processing, particularly where Customer Data includes personal data. The incorporated DPA is intended to govern GDPR-compliant processing arrangements. Where Customer Data includes biometric data used in Custom Avatars, additional legal basis requirements under GDPR Article 9 apply. The 'improve the Services' purpose requires evaluation against GDPR's purpose limitation principle. 2. GOVERNANCE EXPOSURE: Medium. The license grant is standard for SaaS agreements but the inclusion of Custom Avatars, which may contain biometric data, within the licensed data scope requires careful review under applicable biometric privacy frameworks. The 'reasonably necessary' qualifier and four enumerated purposes provide meaningful limitation on Synthesia's use rights. 3. JURISDICTION FLAGS: EU and UK GDPR impose purpose limitation and data minimization requirements that constrain how Synthesia may exercise this license. Illinois BIPA and similar biometric laws may impose additional restrictions on processing of biometric data contained in Custom Avatars. 4. CONTRACT AND VENDOR IMPLICATIONS: The DPA incorporated by reference should be reviewed to confirm that the license grant is consistent with GDPR data processor obligations and that appropriate data processing agreements are in place for all Synthesia Extended Family members who may access Customer Data. 5. COMPLIANCE CONSIDERATIONS: Organizations should conduct data mapping to identify all personal data included within Customer Data as defined in the agreement, and confirm that their privacy notices accurately describe the processing that occurs under this license grant.
