This is the legal agreement that governs your use of Neon's serverless PostgreSQL cloud database platform, including how you pay for it, what data Neon can access, and what happens if the service is suspended or terminated. The most important thing to know is that because Neon is now an affiliate of Databricks, your contractual relationship may involve both companies, which affects how your data is handled and which legal terms apply to you. Before signing up for a paid plan, review whether a separate Data Processing Agreement is required for your use case, especially if you store personal data in your Neon databases.
This Neon Platform Services Product Specific Schedule governs Customer use of the Neon proprietary cloud computing platform, entered into between Neon LLC (an affiliate of Databricks, Inc.) and the Customer as of the Effective Date. The agreement establishes the contractual basis for access to Neon's serverless PostgreSQL infrastructure, including subscription terms, usage-based billing mechanics, data handling obligations, and service availability conditions. As a product-specific schedule layered on top of a master agreement framework, this document creates a hierarchical contractual structure where Databricks' broader platform terms may also apply, which is operationally distinct from standalone SaaS agreements and may create compliance obligations that span both entities. The document engages data protection frameworks including GDPR and CCPA given Neon's cloud database context and its affiliate relationship with Databricks, a US-based entity processing customer data; jurisdiction-specific obligations will depend on where the Customer and their end users are located.
