ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

(1) REGULATORY LANDSCAPE: Auto-renewal provisions engage California's Automatic Renewal Law, which requires clear disclosure of auto-renewal terms, affirmative consent, and a simple cancellation mechanism. Similar automatic renewal statutes exist in New York, Illinois, and other states. The FTC's Negative Option Rule and recent amendments impose disclosure, consent, and cancellation requirements on subscription services. The five-business-day advance cancellation window should be evaluated against these requirements. (2) GOVERNANCE EXPOSURE: Medium. The five-business-day cancellation window is operationally specific and the availability of administrative console auto-renewal disable is qualified as available only where the capability exists, creating inconsistency in the cancellation mechanism across different DocuSign services. (3) JURISDICTION FLAGS: California's Automatic Renewal Law creates heightened exposure, particularly regarding whether the cancellation mechanism meets the statutory requirement for a simple mechanism to cancel. New York and Illinois have similar statutes. For EU and UK customers, distance selling regulations may impose additional cancellation right requirements. (4) CONTRACT AND VENDOR IMPLICATIONS: Procurement teams should document the auto-renewal date and establish internal reminders at least five business days before subscription term end. Where DocuSign services are procured through App Stores, the App Store's billing and cancellation mechanisms govern and may differ from DocuSign's direct cancellation process. (5) COMPLIANCE CONSIDERATIONS: Legal teams should assess whether the five-business-day cancellation window and the conditionally available administrative console disable feature satisfy applicable automatic renewal statutes in relevant jurisdictions. Internal subscription management workflows should be updated to account for the advance cancellation requirement.
