ClickUp Terms of Use

This document governs the contractual relationship between ClickUp LLC and users of its productivity platform, establishing terms under which individuals and businesses may access ClickUp's services including its AI features (ClickUp Brain). The agreement states that users grant ClickUp a broad license to use, reproduce, modify, and distribute user-submitted content, and that ClickUp may use aggregated and anonymized data for service improvement; the terms also authorize ClickUp to suspend or terminate accounts at its discretion and to modify the agreement with notice posted to the site. Notable provisions include a mandatory binding arbitration clause with class action waiver, a limitation of liability capping ClickUp's exposure at fees paid in the prior 12 months, and an intellectual property license covering all content uploaded to the platform; while these provisions are common in SaaS agreements, the breadth of the content license and the aggregated data use provisions may warrant scrutiny, and the arbitration clause's enforceability may vary by jurisdiction. The agreement engages GDPR and UK GDPR for EU and UK users, CCPA for California residents, and COPPA insofar as the service is not directed at users under 13; ClickUp's DPA and Privacy Policy are incorporated by reference and represent the primary compliance instruments for data protection obligations, meaning institutional users should review those supplemental documents alongside these terms.
