The updated terms clarify tax responsibilities: Company is responsible for all taxes associated with purchases except taxes based on Ramp's income, property, or employees. Where Ramp is legally required to collect taxes, Ramp will invoice them separately and Company must pay unless Company provides a valid exemption certificate. Company must also keep tax registration information current and self-assess taxes where applicable law requires it. For users of stablecoin-funded cards, the new Stablecoin Card Addendum now governs those cards. For users generating content via Ramp SaaS services, Company owns the Generated Content but must review it for accuracy, infringement, and third-party rights issues before use, and Ramp retains ownership of any Ramp Property embedded in that content.
View change record →The updated terms establish stronger protections for subscription customers by removing Ramp's ability to terminate their accounts without cause on 30 days' notice. Non-subscription business accounts remain subject to termination without cause. The agreement also clarifies that Ramp will limit collection of Personal Data accessed through third-party integrations to what is 'reasonably necessary for the provision of the Services,' and that all data use must comply with applicable law. Warranty disclaimers have been expanded to explicitly cover conditions and representations, not just warranties. Canadian customers now contract with a Canadian entity (Ramp Business Canada Corporation) under supplemental terms.
View change record →The updated terms establish that regional schedules now apply based on the jurisdiction where your company is domiciled, meaning UK and EU customers will operate under separate regional terms. Ramp has expanded its sanctions compliance framework to prohibit use by individuals, organizations, or countries sanctioned by the United States, Canada, the European Union, or the United Kingdom, broadening the scope of restricted entities beyond prior US-only OFAC restrictions. Subscription billing terms have been revised to reflect term-based pricing (such as annual) as offered and selected, rather than defaulting to monthly billing. You can review the applicable regional schedule for your jurisdiction to understand which Ramp entity governs your account and what local terms apply.
