The agreement authorizes PayPal to hold funds in a user's account for up to 180 days based on risk determinations made at PayPal's sole discretion using proprietary and confidential criteria, with holds potentially extending beyond 180 days pursuant to legal or regulatory requirements. ConductAtlas Analysis

Why it matters (compliance & governance perspective)

This provision establishes PayPal's authority to restrict access to account funds for up to 180 days without disclosing the specific risk criteria applied, which creates material liquidity exposure for merchants and sellers who rely on PayPal account balances for operational cash flow. Risk-based holds of up to 21 days may apply at the transaction level, while account-level holds may extend to 180 days under the terms stated.

If You Do Nothing

Funds subject to a hold will remain unavailable for withdrawal until the hold is lifted, which may take up to 180 days or longer pursuant to court orders or regulatory requirements

Sellers who do not respond to PayPal's inquiries or provide requested information during a limitation period may have the limitation remain in place until the required information is provided

Holding the balance in your Balance Account, the balance in your business account, or any money waiting to be claimed through your personal account if you do not have a Balance Account linked to your personal account, for up to 180 days if reasonably needed to protect against the risk of liability or if you have violated our Acceptable Use Policy. The hold may remain in place longer than 180 days according to Court Orders, Regulatory Requirements, or Other Legal Processes. Our decision about holds, limitations and reserves may be based on confidential criteria that are essential to our management of risk and the protection of PayPal, our customers and/or service providers. We may use proprietary fraud and risk modeling when assessing the risk associated with your PayPal account. In addition, we may be restricted by regulation or a governmental authority from disclosing certain information to you about such decisions. You agree that we have no obligation to disclose the details of our risk management or security procedures to you.

ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

1) REGULATORY LANDSCAPE: Fund hold practices by money transmitters are subject to state money transmitter licensing laws, which vary in their requirements regarding consumer notification and maximum hold durations. CFPB supervision of payment processors includes oversight of practices that may constitute unfair, deceptive, or abusive acts or practices (UDAAP) under Dodd-Frank. The agreement's reference to compliance with 'applicable law' and 'regulatory requirements' as a basis for extended holds acknowledges this regulatory framework without specifying applicable statutes. 2) GOVERNANCE EXPOSURE: High. The combination of a 180-day hold authorization, confidential criteria, and no obligation to disclose risk management procedures creates significant operational uncertainty for business account holders. The agreement permits holds to extend beyond 180 days pursuant to legal or regulatory processes, further limiting predictability of fund access timelines. 3) JURISDICTION FLAGS: California, New York, and other states with specific money transmitter regulations may impose notification or procedural requirements on fund holds that interact with the terms as stated. The agreement does not specify which state's money transmitter laws govern, which may create ambiguity for multi-state operators. 4) CONTRACT AND VENDOR IMPLICATIONS: Merchants and marketplace sellers should assess whether PayPal's hold authority is disclosed in their own customer-facing terms, particularly where delayed fund access could affect fulfillment obligations. B2B contracts that reference PayPal as a payment processor should include contingency provisions addressing the possibility of extended fund holds. 5) COMPLIANCE CONSIDERATIONS: Business account holders should maintain independent liquidity reserves sufficient to cover potential 180-day hold periods. Compliance teams should review whether the hold notification procedures described in the agreement are being operationally implemented, including the requirement to provide notice of holds via email or PayPal account communications.
