(1) REGULATORY LANDSCAPE: Unilateral modification clauses in consumer agreements engage FTC unfair or deceptive practices standards and applicable state consumer protection law. EU Directive 93/13/EEC on unfair contract terms may apply to this provision for EU consumers, as terms allowing unilateral modification without adequate notice may be classified as unfair. The UK Consumer Rights Act contains similar provisions. (2) GOVERNANCE EXPOSURE: Medium. The combination of unilateral term modification and unilateral service change authority without notice creates operational dependency risk for enterprise customers who rely on specific features or storage allocations. The materiality determination for notice purposes resting solely with Figma is a governance touchpoint. (3) JURISDICTION FLAGS: EU and UK users may have regulatory protections against certain types of unilateral contract modifications in consumer agreements. California consumer protection law may impose limitations on modification-by-continued-use provisions depending on user classification. (4) CONTRACT AND VENDOR IMPLICATIONS: Enterprise procurement teams should note that the terms state customer purchase order terms are void (Section 9.18), meaning contractual protections against unilateral modification cannot be established through standard procurement documentation for Starter and Professional plan customers. Organization and Enterprise plan customers are directed to the Software Services Agreement, which may contain negotiated change control provisions. (5) COMPLIANCE CONSIDERATIONS: Legal teams should implement a process for monitoring Figma's Terms updates, particularly for provisions referencing incorporated policies (DPA, Privacy Policy, Acceptable Use Policy, AI Terms) which are also subject to unilateral modification. Any Terms change affecting data processing should trigger a data mapping and DPA review.
