What it is

Kit states that it continuously monitors account-level email performance metrics including bounce rates, spam complaint rates, and unsubscribe rates, and that elevated metrics may trigger manual review, account suspension, or termination, with no refund or data export entitlement upon closure.

This analysis describes what ConvertKit's agreement states, permits, or reserves. It does not constitute a legal determination about enforceability. Regulatory applicability and practical outcomes may vary by jurisdiction, enforcement context, and individual circumstances. Read our methodology

ConductAtlas Analysis

Why it matters (compliance & governance perspective)

This provision establishes that ongoing platform access is contingent on maintaining acceptable email performance metrics as assessed by Kit, with termination consequences and no data portability entitlement applying to accounts closed for performance-related reasons.

Interpretive note: The policy does not specify the numeric thresholds for bounce, complaint, or unsubscribe rates that trigger manual review, suspension, or termination, making advance compliance assessment uncertain.

Consumer impact (what this means for users)

The agreement establishes ongoing monitoring of sender performance metrics and authorizes suspension or termination based on elevated bounce, complaint, or unsubscribe rates, without specifying the thresholds that trigger each level of response; accounts closed for these reasons are not entitled to refunds or subscriber list exports.

We continually monitor accounts to ensure best practices are being followed. We review bounce, spam complaint, and unsubscribe rates to ensure accounts are operating within our terms. Elevated bounce, complaint or unsubscribe rates may result in manual review, suspension, or termination of the account. Any account closed for such a reason will not be entitled to a refund or export of any data or details including Subscriber lists.

ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

(1) REGULATORY LANDSCAPE: The ongoing monitoring of account activity described in this provision involves Kit processing sender and subscriber interaction data, which may engage GDPR processing transparency obligations for EU-based users. The FTC Act's standards for unfair commercial practices may be relevant if termination is applied based on performance thresholds that are not disclosed to account holders in advance. (2) GOVERNANCE EXPOSURE: Medium. The absence of defined numeric thresholds for bounce, complaint, or unsubscribe rates that trigger each enforcement action (review, suspension, or termination) creates operational uncertainty for compliance teams managing large or segmented sender programs. Senders operating in sectors with structurally higher unsubscribe rates may face disproportionate enforcement exposure under this standard. (3) JURISDICTION FLAGS: EU and UK users should assess whether Kit's ongoing account monitoring activities are disclosed in Kit's Privacy Policy and whether the processing basis is appropriately documented under GDPR. The data retention and export limitations upon termination for performance reasons engage the same jurisdictional considerations identified in the termination provision. (4) CONTRACT AND VENDOR IMPLICATIONS: Organizations using Kit for high-volume or segmented email programs should assess their list hygiene practices and unsubscribe rate management against this policy, noting the absence of defined enforcement thresholds. Vendor onboarding assessments should flag the absence of pre-termination notice or cure rights for performance-based account closures. (5) COMPLIANCE CONSIDERATIONS: Compliance teams should implement regular list hygiene reviews and monitor bounce, complaint, and unsubscribe metrics to minimize exposure under this provision. Given the no-data-export consequence, organizations should maintain independent subscriber list backups outside the Kit platform.
