What it is

If you ever suggest improvements or report issues to Windsurf, they own those ideas forever and can use them for any purpose — for free, with no credit to you.

Consumer impact (what this means for users)

Users who provide product feedback — including developers sharing domain expertise or novel coding approaches — grant Windsurf a permanent, royalty-free license to commercialize those ideas in any product without compensation or attribution.

Why it matters (compliance & risk perspective)

Any proprietary ideas, bug reports, or product suggestions you share with Windsurf become theirs permanently. Developers who suggest features incorporating their own IP or methodologies may inadvertently transfer commercially valuable innovations to Exafunction.

View original clause language
If you choose to provide input and suggestions regarding existing functionalities, problems with or proposed modifications or improvements to the Service ("Feedback"), then you hereby grant Exafunction an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right and license to exploit the Feedback in any manner and for any purpose, including to improve the Service and create other products and services. We will have no obligation to provide you with attribution for any Feedback you provide to us.

Institutional analysis (Compliance & legal intelligence)

(1) REGULATORY FRAMEWORK: This provision is primarily an intellectual property and contract law matter rather than a regulatory compliance issue. It implicates common law IP assignment principles and may interact with employment agreements if feedback is provided by employees whose employment contracts assign IP created in the course of employment. In California, Labor Code §2870 limits employer IP assignment clauses, but analogous limits on user IP grants to SaaS providers are less established. (2)
