Why it matters (compliance & governance perspective)

This provision authorizes Consensys to suspend access immediately and without advance notice across a broad range of subjective determinations, including potential legal liability to third parties or potential unlawfulness, which may affect users relying on MetaMask or Infura for operational continuity.

The updated terms explicitly state that UK, EU, and EEA consumers retain statutory consumer protection rights that cannot be limited or excluded by the agreement, and that applicable local law prevails in the event of conflict with these terms. This adds clarity to the legal framework but does not change substantive protections for those users. The terms also clarify that mUSD is a third-party digital asset not issued by Consensys, treating it as a third-party service subject to the agreement's limitations on Consensys' responsibility for third-party services.

ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

(1) REGULATORY LANDSCAPE: Unilateral suspension clauses in consumer digital service agreements engage consumer protection frameworks in the EU (Consumer Rights Directive, Digital Services Act) and UK (Consumer Rights Act), which may require adequate notice and proportionality in service termination. The breadth of the suspension triggers, including potential liability to third parties and potential unlawfulness, may interact with due process and proportionality requirements in regulated markets. (2) GOVERNANCE EXPOSURE: Medium to High for business accounts and API integrators (such as Infura users) whose production applications depend on Consensys infrastructure. The absence of a notice requirement for immediate suspensions, combined with the subjective determination standard, creates operational continuity risk for dependent services. (3) JURISDICTION FLAGS: EU/EEA and UK users operating under the Digital Services Act or Consumer Rights Act may have additional procedural protections that constrain immediate suspension without notice. California and other US states with consumer protection statutes governing digital service termination may also create jurisdiction-specific limitations. (4) CONTRACT AND VENDOR IMPLICATIONS: Business accounts should assess whether service level agreements or API contracts with Consensys provide additional suspension notice protections beyond these baseline terms, and whether their own downstream service obligations to users can be met in the event of immediate suspension. The 30-day payment default trigger for suspension is a defined threshold that procurement teams can operationalize. (5) COMPLIANCE CONSIDERATIONS: Legal teams should assess whether the subjective suspension triggers (potential liability, potential unlawfulness) are adequately constrained by the Agreement's language and whether they satisfy proportionality requirements in applicable jurisdictions. Operational continuity plans should account for the possibility of immediate suspension without advance notice.
