ConductAtlas Analysis

Why it matters (compliance & governance perspective)

This provision establishes that fees paid under an active Order are non-refundable except in the specific termination-for-cause scenario described in Section 5.3, and that recurring billing proceeds automatically without additional Customer authorization, creating ongoing payment exposure for the duration of the Subscription Period.

Consumer impact (what this means for users)

Under these terms, fees for an active Subscription Period are non-cancelable and non-refundable except where Linear terminates for its own uncured breach. Recurring charges are authorized to process automatically without further Customer action until the subscription is terminated or the payment method is changed through the account settings.

What you can do

⚠️ These actions may provide transparency or partial mitigation but may not fully address the underlying issue. Effectiveness varies by jurisdiction and individual circumstances.
  • Cancel Subscription
Send a written cancellation notice to billing@linear.app. Linear must confirm the cancellation in writing for it to be effective. Alternatively, modify the subscription directly through your account settings within the Service.

Payment obligations are non-cancelable and, except as expressly stated in this Agreement, non-refundable. Linear may modify its Fees or introduce new fees in its sole discretion. Customer always has the right to choose not to renew its subscription if it does not agree with any new or revised Fees. If authorized by Customer through acceptance of an Order, recurring charges (e.g. monthly billing) will be charged to Customer's payment instrument without further authorization from Customer, until Customer terminates this Agreement in accordance with its terms or changes its payment method in Customer's account in the Service.

ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

REGULATORY LANDSCAPE: Automatic recurring billing provisions engage FTC guidance on negative option marketing and subscription billing practices, including the FTC's Negative Option Rule, which may require clear and conspicuous disclosure of recurring charge terms and simple cancellation mechanisms. State-level automatic renewal laws, including California's Automatic Renewal Law, may impose additional disclosure and consent requirements depending on Customer location. GOVERNANCE EXPOSURE: Medium. The combination of non-cancelable obligations and automatic recurring charges without further authorization creates financial commitment risk for Customer organizations, particularly in multi-year or enterprise-tier subscriptions. Linear's unilateral right to modify fees in its sole discretion, with Customer's remedy limited to non-renewal, may also warrant assessment in jurisdictions where fee modification rights in standard-form contracts face scrutiny. JURISDICTION FLAGS: California's Automatic Renewal Law imposes specific disclosure, consent, and cancellation requirements for automatically renewing subscriptions. Similar requirements exist in other US states and under EU distance selling and consumer contract regulations, though the extent of applicability to B2B agreements varies by jurisdiction and entity type. CONTRACT AND VENDOR IMPLICATIONS: Enterprise procurement teams should confirm that Order terms clearly specify the Subscription Period and fee schedule, and that internal budget approval workflows account for the non-cancelable nature of committed fees. The provision permitting unlimited retry attempts on failed payment instruments without Customer notification may also require review against internal financial controls. COMPLIANCE CONSIDERATIONS: Teams should ensure that the Order acceptance process includes adequate disclosure of the recurring billing authorization, and should maintain documented procedures for subscription cancellation via billing@linear.app or account settings to ensure compliance with the Agreement's termination requirements.
