Notwithstanding Section 4.1, fees for AI Services shall be governed by the AI Addendum, which may include usage-based billing calculated on consumption metrics (e.g., tokens, API calls, or compute units) in addition to or in lieu of the subscription Fees set forth in an Order. Usage-based fees will be calculated payable by Customer in accordance with the measurement methodology described in the AI Addendum. In the event of any conflict between this Agreement and the AI Addendum with respect to AI Services fees, the AI Addendum will control. To the extent Customer accesses or uses any artificial intelligence or machine learning features or functionality made available through the Service (collectively, "AI Services"), such use shall be governed by Linear's AI Services Addendum, available at linear.app/legal/ai-addendum and incorporated herein by reference (the "AI Addendum"). In the event of any conflict between this Agreement and the AI Addendum with respect to AI Services, the AI Addendum will control.

The Addendum's authority to modify data protection obligations expressly established in Section 9.4 of the base Agreement requires assessment of whether such modifications satisfy GDPR controller-processor agreement requirements or CCPA service provider obligations. COMPLIANCE CONSIDERATIONS: Teams should document the version of the AI Addendum reviewed at the time of contract execution, monitor for updates to the Addendum given Linear's unilateral amendment rights under Section 11.3, and assess whether usage-based billing measurement methodologies are auditable or verifiable by Customer.
