Any recommendations, suggestions, or ideas Customer provides to Contentsquare regarding the CS Service are licensed to Contentsquare on an irrevocable, perpetual, worldwide, royalty-free basis, with rights to sublicense and transfer, and Contentsquare may incorporate this Feedback into the CS Service or otherwise exploit it without restriction.

The provision is operationally significant for product teams that submit detailed technical or strategic enhancement requests, as such communications are not confidential under the agreement and are irrevocably licensed to Contentsquare. 3) JURISDICTION FLAGS: No heightened jurisdictional exposure is identified for this provision. The irrevocability of the license is subject to applicable law, which may impose constraints in certain jurisdictions on agreements that waive future IP rights. 4) CONTRACT AND VENDOR IMPLICATIONS: Internal communications and product input shared with Contentsquare's account teams or product teams should be reviewed before submission to ensure they do not contain proprietary business strategy, trade secrets, or Customer Confidential Information. The MSA's definition of Feedback explicitly excludes Customer Data and identifying information, and requires Customer to ensure requisite authorization has been obtained from any User submitting Feedback. 5) COMPLIANCE CONSIDERATIONS: Governance teams should establish internal guidelines for what categories of product input may be shared with Contentsquare as Feedback, and train customer success and technical teams accordingly. Customer should verify that Feedback submissions do not include data that would otherwise be protected as Customer Confidential Information under Section 4.
