ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

(1) REGULATORY LANDSCAPE: The sublicensable license to use Customer Data for product improvement and development may engage GDPR requirements regarding purpose limitation and lawful basis for processing personal data beyond the original collection purpose. CCPA provisions regarding use limitations and the right to opt out of certain data uses may also interact with this license grant where Customer Data includes personal information of California residents. (2) GOVERNANCE EXPOSURE: Medium. The inclusion of product improvement and development within the scope of the Customer Data license is operationally significant for enterprise customers with data minimization obligations. The sublicensability of the license enables sharing of Customer Data with third parties including AI providers, which the AI Features section confirms. Customers should assess whether this scope is reflected in their own privacy notices and data processing records. (3) JURISDICTION FLAGS: EU customers should assess whether the product improvement and development use of Customer Data is supported by a lawful basis under GDPR, particularly where Customer Data includes personal data of EU data subjects. The incorporated DPA should be reviewed to determine whether this use is addressed as a controller or processor activity. (4) CONTRACT AND VENDOR IMPLICATIONS: The sublicensable nature of the license means Customer Data may be shared with Calendly's third-party providers, including AI vendors, without additional consent from the customer for each sub-processor engagement. Customers should review the DPA's sub-processor list and notification procedures to understand which parties receive Customer Data. (5) COMPLIANCE CONSIDERATIONS: Privacy and data governance teams should map the categories of Customer Data submitted to Calendly against the permitted uses in this license, update internal records of processing activities accordingly, and assess whether existing customer-facing privacy disclosures reflect Calendly's product improvement use of Customer Data.
