All disputes arising from this agreement are governed by the laws of the State of Israel and must be resolved exclusively in the courts of Tel Aviv-Jaffa, with users waiving any objection to that venue. AI21 retains the right to seek equitable relief in any court of competent jurisdiction.
This analysis describes what AI21 Labs's agreement states, permits, or reserves. It does not constitute a legal determination about enforceability. Regulatory applicability and practical outcomes may vary by jurisdiction, enforcement context, and individual circumstances. Read our methodology
This provision requires users outside Israel to litigate disputes in Tel Aviv-Jaffa courts under Israeli law, which may present practical barriers to legal action for international users. The asymmetric carve-out permitting AI21 to seek equitable relief in any jurisdiction is one-sided in favor of AI21.
Interpretive note: Enforceability of the exclusive Israeli jurisdiction clause against consumers in the EU, UK, and certain U.S. states depends on applicable mandatory consumer protection laws in those jurisdictions.
The updated terms remove the explicit "Your Opt-Out Rights" button that previously allowed users to opt out of data sales and targeted advertising. In its place, the revised language establishes a general cookie consent framework requiring users to click "Accept" to allow cookies for site navigation, usage analysis, and marketing efforts. Users retain the ability to choose not to allow certain cookie types, but the prior dedicated opt-out mechanism for data sales and targeted advertising is no longer explicitly described in the accessible terms interface. If you wish to control cookie preferences, you can click on the cookie settings to modify consent for different types of cookies; however, strictly necessary cookies cannot be declined as they are required for core website functionality.

"This Agreement (including without limitation its validity) shall be governed by, and construed in accordance with, the laws of the State of Israel without regard to any conflicts of laws rules or principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement and is hereby disclaimed. You agree to submit to the personal and exclusive jurisdiction of the courts located in Tel Aviv-Jaffa and waive any jurisdictional, venue, or inconvenient forum objections to such courts, provided that AI21 may seek equitable relief in any court of competent jurisdiction.Excerpt from AI21 Labs's Terms of Use
1. REGULATORY LANDSCAPE: EU consumer protection law, including the Brussels I Regulation (Recast) and Rome I Regulation, may limit the enforceability of exclusive foreign jurisdiction clauses against EU consumers, who may retain the right to litigate in their home jurisdiction. UK consumers may have similar protections under retained EU law and domestic consumer contract regulations. The agreement acknowledges that mandatory consumer rights may not be excluded. 2. GOVERNANCE EXPOSURE: Medium. For individual consumers outside Israel, the practical cost and difficulty of litigating in Tel Aviv under Israeli law may function as a de facto barrier to legal action. For institutional or B2B users, the clause is more likely to be enforceable. 3. JURISDICTION FLAGS: EU/EEA users retain heightened protections under Brussels I Regulation regarding jurisdiction in consumer contracts, which may override the exclusive jurisdiction clause. UK users may have similar protections. California and U.S. users should note that U.S. courts may decline to enforce exclusive foreign jurisdiction clauses in certain consumer contexts. 4. CONTRACT AND VENDOR IMPLICATIONS: Organizations headquartered outside Israel should assess whether their standard contract templates and dispute resolution frameworks are compatible with an Israeli governing law clause. The asymmetric equitable relief carve-out for AI21 should be noted in any vendor risk assessment. 5. COMPLIANCE CONSIDERATIONS: Legal teams should evaluate whether the governing law and jurisdiction clause is enforceable against their user population, particularly for EU and UK consumer-facing contexts. For organizational users, the clause may be acceptable but warrants flagging in vendor contract review processes.
