62If found to be in apparent violation of these restrictions, your account could be terminated and your funds could be held for an indefinite period of time; access or monitor any material or information on any Square system using any manual process or robot, spider, scraper, or other automated means; except to the extent that any restriction is expressly prohibited by law, violate the restrictions in any robot exclusion headers on any Service, work around, bypass, or circumvent any of the technical limitations of the Services, use any tool to enable features or functionalities that are otherwise disabled in the Services, or decompile, disassemble or otherwise reverse engineer the Services; perform or attempt to perform any actions that would interfere with the proper working of the Services, prevent access to or use of the Services by our other customers, or impose an unreasonable or disproportionately large load on our infrastructure; copy, reproduce, alter, modify, create derivative works, publicly display, republish, upload, post, transmit, resell or distribute in any way material, information or Services from Square; use and benefit from the Services via a rental, lease, timesharing, service bureau or other arrangement; transfer any rights granted to you under these General Terms; use the Services in a way that distracts or prevents you from obeying traffic or safety laws; use the Services for the sale of firearms, firearm parts, ammunition, weapons or other devices designed to cause physical harm; use the Services for any illegal activity or goods or in any way that exposes you, other Square users, our partners, or Square to harm; or otherwise use the Services except as expressly allowed under these Terms.62If found to be in apparent violation of these restrictions, your account could be terminated and your funds could be held for an indefinite period of time; access or monitor any material or information on any Square system using any manual process or robot, spider, scraper, or other automated means; use or access the Services to build, support, or assist any third party in building or supporting, any product or service that competes with the Services, except as expressly permitted by Square; except to the extent that any restriction is expressly prohibited by law, violate the restrictions in any robot exclusion headers on any Service, work around, bypass, or circumvent any of the technical limitations of the Services, use any tool to enable features or functionalities that are otherwise disabled in the Services, or decompile, disassemble or otherwise reverse engineer the Services; perform or attempt to perform any actions that would interfere with the proper working of the Services, prevent access to or use of the Services by our other customers, or impose an unreasonable or disproportionately large load on our infrastructure; copy, reproduce, alter, modify, create derivative works, publicly display, republish, upload, post, transmit, resell or distribute in any way material, information or Services from Square; use and benefit from the Services via a rental, lease, timesharing, service bureau or other arrangement; transfer any rights granted to you under these General Terms; use the Services in a way that distracts or prevents you from obeying traffic or safety laws; use the Services for the sale of firearms, firearm parts, ammunition, weapons or other devices designed to cause physical harm; use the Services for any illegal activity or goods or in any way that exposes you, other Square users, our partners, or Square to harm; or otherwise use the Services except as expressly allowed under these Terms.
72You grant us and our subsidiaries, affiliates, successors, and as authorized by Square in our sole discretion, third parties, a worldwide, non-exclusive, royalty-free, fully-paid, transferable, irrevocable, perpetual, and sub-licensable right to use, reproduce, modify, adapt, publish, prepare derivative works of, distribute, publicly perform, and publicly display your Content throughout the world in any media for any reason, including to provide, promote, facilitate, and/or incorporate into the Services on “cash.app” web domains and other affiliated products and services offered by us, including on Cash App and your Online Ordering Profile.72You grant us and our subsidiaries, affiliates, successors, and as authorized by Square in our sole discretion, third parties, a worldwide, non-exclusive, royalty-free, fully-paid, transferable, irrevocable, perpetual, and sub-licensable right to use, reproduce, host, modify, adapt, publish, prepare derivative works of, distribute, publicly perform, and publicly display your Content throughout the world in any media to provide, promote, facilitate, and/or incorporate into the Services on and other affiliated products and services offered by us, including on “cash.app” web domains, Cash App, your Online Ordering Profile, and Buzz-hosted communication platforms, and for Block’s business purposes, including developing, training, testing, evaluating, and improving products, services, technologies, and models.
76You authorize and direct us to obtain from publicly available sources information about your business, such as your business name, locations, website URL, phone number, business hours, and other factual business information.
77For purposes of the license and representations in this paragraph, “Business Brand Assets” means your business names, trade names, trademarks, service marks, logos, photographs, menus, inventory, product descriptions, and related brand or business materials that you provide to us, publicly use, or authorize others to use to identify, describe, market, or promote your business, products, or services, including on your website, your social media profiles, public business listings associated with your business, and any other source you identify to us.
78You direct and authorize the Company and its subsidiaries, affiliates, successors, service providers, and other third parties authorized by us to locate, retrieve, collect, copy, store, and use your Business Brand Assets from those sources.
79Your Business Brand Assets are your Content subject to the license in this Section 5.
80You represent and warrant that the Business Brand Assets you provide to us, publicly use, or authorize others to use to identify, describe, market, or promote your business, products, or services are associated with your business and that you own or have all rights and permissions necessary to grant the foregoing license, including the right to authorize their reproduction, modification, adaptation, and preparation of derivative works.
81You further represent and warrant that our use of those Business Brand Assets as permitted by these General Terms will not infringe or violate any third party’s rights.
82If you do not own or have sufficient rights in a Business Brand Asset, you must notify us and use the tools and/or processes we make available to replace or remove it.
83You may replace or remove a Business Brand Asset displayed through the Services, but it may persist in historical, archived or cached copies and versions available on or through the Services.
84We are not obligated to obtain, verify, update or continue to display any information we obtain from those sources.
85We may decline to collect from, or cease collecting from, any source at our sole discretion.
131If you link a debit or credit card to your account, you authorize us to collect Paid Service Fees by debit from your linked debit card or charge to your linked credit card.141You may select a primary payment method at the time you sign up for a Paid Service.
132Regardless of payment device or method, we reserve the right to collect Paid Service Fees by deduction from your transaction proceeds, the Balance (as defined in the Payment Terms) in your Square Account or your linked bank account.142By selecting a payment methodIf you authorize us to debit your primary payment method for Paid Service Fees.
143If we are unable to collect Paid Service Fees from your primary payment device or method, you authorize us to collect Paid Service Fees by deduction from your transaction proceeds, or by debiting the Balance (as defined in the Payment Terms) in your Square Account or your linked bank account.
144You represent and warrant that any debit card, credit card, or bank account that you provide was not established primarily for personal, family, or household purposes and that you are an authorized user on such debit card, credit card, or bank account.
145You understand that any debits to your linked bank account are subject to the National Automated Clearing House Association - The Electronic Payments Association Operating Rules and Guidelines (“NACHA Rules”), and you agree to be bound by the NACHA Rules in connection with such debits.
