Whatnot's Terms set the rules for buying and selling on its platform. If you sell on Whatnot, you must pay transaction and cancellation fees set in a schedule Whatnot can update, and any dispute with Whatnot must be settled through individual arbitration rather than in court. No matter what goes wrong, the most Whatnot owes you in damages is whatever you paid in fees over the past year, or $100 if you paid nothing.

Whatnot's Terms of Service establish the conditions under which users and Sellers may access and transact on the platform, imposing materially distinct obligations on each group. Sellers are subject to expanded identification and tax data collection, mandatory VAT registration in the EU, fee payment obligations (including a transaction fee schedule subject to unilateral amendment, a tiered cancellation fee, and discretionary violation penalties of 15% of transaction value or $12 USD minimum), and a duty to disclose their commercial relationship with Whatnot in any direct or indirect reference to the platform. All Transaction payments are non-refundable and non-transferable except where the Terms expressly provide otherwise or applicable law requires a refund. Dispute resolution is channeled exclusively into binding individual arbitration, with class and representative actions prohibited, and Whatnot's aggregate liability to any user is capped at fees paid in the preceding 12 months or $100 USD, whichever is greater. Whatnot retains the right to amend its Terms on no less than 15 days' written notice to Sellers, with a longer notice period where amendments require technical or commercial adaptations.

For ordinary users, the most direct effects are that all payments for transactions are non-refundable and non-transferable unless the Terms or applicable law say otherwise, and any dispute with Whatnot must be pursued through binding individual arbitration on a personal basis — not as part of a class or group action. Whatnot's liability to you for any harm is capped at the fees you personally paid in the 12 months before the event, with a $100 floor. Sellers face additional obligations: Whatnot collects sensitive identification data including tax ID, date of birth, and government-issued documents; EU-based Sellers must hold EU VAT registration to sell at all; Sellers must disclose their connection to Whatnot whenever they mention the platform; and Sellers pay fees — including cancellation fees and potential violation penalties — at rates set in a Fee Schedule that Whatnot may update. If you are a Seller who believes a violation penalty has been applied to you, the Terms make that determination subject to Whatnot's sole discretion.
