These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law provisions. You agree that any action at law or in equity arising out of or relating to these Terms that is not subject to arbitration shall be filed only in the state or federal courts located in New York County, New York, and you hereby irrevocably consent and submit to personal jurisdiction and venue of such courts for the purpose of litigating any such action.
