What it is

Users agree to indemnify Waze, its personnel, and third-party advertisers against all claims, damages, expenses, and liabilities arising from user violations of the terms, including legal expenses and attorney fees, with the justification that the service is free of charge.

This analysis describes what Waze's agreement states, permits, or reserves. It does not constitute a legal determination about enforceability. Regulatory applicability and practical outcomes may vary by jurisdiction, enforcement context, and individual circumstances. Read our methodology

ConductAtlas Analysis

Why it matters (compliance & governance perspective)

This provision extends indemnification obligations to third-party advertisers, not only Waze itself, which is operationally distinct from many standard consumer terms of service. Under consumer protection frameworks in the EU and certain US states, broad indemnification obligations imposed on consumers in adhesion contracts may be subject to unfair terms review.

Interpretive note: Enforceability of the indemnification clause, particularly as extended to third-party advertisers, is jurisdiction-dependent and may be limited by consumer protection law in the EU, UK, and certain US states.

The updated Terms now establish that you are binding yourself not only to the main Terms of Use but also to Waze's Content Moderation Policy, Community Terms, and Copyright Policy as integral parts of the agreement. This expands the set of rules you must comply with when using the Service. The revised terms also clarify that the Service is intended for users of legal driving age and explicitly describe Waze's advertising model: the Service is free because advertising revenue funds operations, and Waze uses your data to show you targeted ads, with controls available to manage ad personalization preferences.

ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

1) REGULATORY LANDSCAPE: Consumer protection frameworks in the EU, particularly the Unfair Contract Terms Directive, may subject broad consumer indemnification clauses in adhesion contracts to enforceability review, especially where they extend to third-party commercial beneficiaries such as advertisers. The FTC Act and state consumer protection statutes in the US may be relevant where indemnification provisions create disproportionate financial exposure for consumers. California's consumer protection framework may limit the enforceability of indemnification clauses in consumer contracts of adhesion. 2) GOVERNANCE EXPOSURE: Medium. The extension of indemnification to third-party advertisers is notable because it creates potential financial liability for users toward commercial parties with whom users have no direct contractual relationship. The enforceability of this extension is jurisdiction-dependent. 3) JURISDICTION FLAGS: EU consumer law creates heightened enforceability risk for this clause as applied to consumer users. UK consumer contract regulations similarly subject unfair indemnification terms to review. California and other US states with strong consumer adhesion contract doctrines may limit enforcement of broad indemnification in standard-form consumer agreements. 4) CONTRACT AND VENDOR IMPLICATIONS: Third-party advertisers are named as direct beneficiaries of the indemnification, which may create standing questions in jurisdictions where third-party beneficiary contract rights are limited. Enterprise or business users should note that the indemnification scope is unlimited in stated dollar terms. 5) COMPLIANCE CONSIDERATIONS: Legal teams should assess whether the indemnification clause, particularly as extended to third-party advertisers, is enforceable in each jurisdiction where Waze operates. Where it is not enforceable, applicable statutory frameworks will govern liability allocation. Consumer-facing communications about the service's free-of-charge nature used to justify the indemnification should be reviewed for consistency with applicable disclosure standards.
