What it is

Users agree to indemnify, defend, and hold harmless Uniswap Labs and its affiliates, officers, directors, employees, agents, and service providers from all claims, damages, costs, and expenses (including attorney's fees) arising from the user's access to or use of the Products, violations of the agreement, third-party access via the user's account, and disputes involving the user's own customers.

This analysis describes what Uniswap's agreement states, permits, or reserves. It does not constitute a legal determination about enforceability. Regulatory applicability and practical outcomes may vary by jurisdiction, enforcement context, and individual circumstances. Read our methodology

ConductAtlas Analysis

Why it matters (compliance & governance perspective)

This indemnification provision extends to claims arising from third-party access to the Products using the user's account or device, and to disputes between the user and their own customers, which may create indemnification exposure for enterprise users beyond their direct use of the Products.

The updated terms establish new contractual representations that users must make when agreeing to the agreement. Users now represent that they are not subject to economic or trade sanctions administered by any governmental authority, including OFAC lists, and that they are not citizens or residents of sanctioned jurisdictions. Users also represent that their access and use will comply with all applicable laws and will not be used to conduct or facilitate illegal activity. These representations are legally binding attestations that may be verified. Users in OFAC-sanctioned countries cannot truthfully make these representations and would be unable to use the platform.

The updated terms establish new restrictions on user conduct and add affirmative representations regarding asset eligibility. Users trading tokenized real-world assets (such as tokenized stocks, ETFs, or commodities) must now represent that they have reviewed issuer information and comply with any restrictions on trading or holding those assets. The terms also explicitly prohibit circumventing access restrictions, including geographic blocks and transfer limitations imposed by token issuers. By continuing to use the platform, users affirm they are legally eligible to trade tokens under their jurisdiction's laws.

The updated terms establish that Uniswap does not warrant that any digital asset accessible through its products is available for trading, holding, or transacting in your jurisdiction, or that you are legally permitted to do so. The revised language places the burden on you to determine whether a digital asset is lawfully available to you and to comply with any applicable transfer restrictions imposed by asset issuers or regulatory authorities. This means accessing or trading an asset through the Uniswap interface does not constitute Uniswap's determination that you are eligible to do so under your local laws.

ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

REGULATORY LANDSCAPE: Broad indemnification provisions in consumer-facing agreements may be subject to review under applicable consumer protection statutes, including those that restrict the scope of consumer indemnification obligations. The FTC has examined indemnification clauses that may constitute unfair contract terms in certain contexts. GOVERNANCE EXPOSURE: Medium. The extension of indemnification obligations to third-party access via the user's account, and to disputes between the user and their own customers, creates a broader indemnification scope than provisions limited to the user's direct conduct. Enterprise users who provide access to the Products to clients or employees should assess the operational implications of this scope. JURISDICTION FLAGS: EU users may have statutory consumer rights that limit the enforceability of broad indemnification obligations in consumer contracts. California and other state consumer protection statutes may similarly constrain the enforceability of indemnification clauses that extend beyond the user's direct conduct. CONTRACT AND VENDOR IMPLICATIONS: The provision that Uniswap Labs may assume exclusive defense and control of indemnified matters, and that users may not settle without written consent, creates a procedural constraint on users' ability to manage indemnified claims that procurement and legal teams should evaluate. COMPLIANCE CONSIDERATIONS: Legal teams should assess whether the indemnification scope, particularly the extension to third-party use via the user's account and to user-customer disputes, is consistent with applicable law and with the organization's risk management framework for third-party service agreements.
