You will defend, indemnify, and hold harmless Stripe, our processors, our respective affiliates, and the employees, officers, directors, and agents of each of these entities from and against all claims, suits, demands, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) that arise out of or relate to: (a) your or your Affiliates' access to or use of the Services; (b) your breach of this Agreement; (c) your or your Affiliates' User Content; or (d) your or your Affiliates' business operations, products, or services.
The scope of this indemnification is extremely broad, extending to Stripe's affiliates, processors, and agents, and covers claims arising from your general business operations — not just your use of Stripe — which could expose you to significant and unpredictable liability.
Businesses using Stripe may have their payouts withheld or placed in reserve for up to 180 days based on Stripe's unilateral risk assessment, potentially disrupting cash flow with limited recourse. Stripe can terminate or suspend accounts immediately, cutting off access to payment processing and potentially funds held in reserve. You can review and negotiate reserve terms before signing, and should maintain alternative payment processing arrangements as a contingency.
