ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

(1) REGULATORY LANDSCAPE: The feedback license provision is standard in enterprise SaaS agreements and does not directly implicate a specific regulatory framework. However, where feedback contains proprietary Customer information or trade secrets, the confidentiality provisions of the agreement and applicable trade secret law may be relevant. (2) GOVERNANCE EXPOSURE: Low. The feedback incorporation right is standard across the SaaS industry. Organizations with strict intellectual property governance policies should ensure that internal procedures address what types of feedback may be submitted through Snowflake's platform channels. (3) JURISDICTION FLAGS: No specific jurisdictional issues are identified for this provision. The intellectual property assignment of Snowflake Technology to Snowflake is governed by Delaware law as established in the agreement's governing law clause. (4) CONTRACT AND VENDOR IMPLICATIONS: Procurement teams should note that Customer Data and Customer Materials remain Customer's property under separate provisions, and the feedback provision does not affect Customer Data ownership. The distinction between Customer feedback about the platform and Customer Data processed within the platform is important for IP governance purposes. (5) COMPLIANCE CONSIDERATIONS: Organizations with internal IP governance policies should assess whether feedback submitted through Snowflake's support or product channels could inadvertently include proprietary information. Internal guidelines on what may be included in product feedback to cloud vendors may warrant review.
