"The Service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an active account. All fees are exclusive of all taxes, levies or duties imposed by taxing authorities and you shall be responsible for payment of all such taxes, levies or duties, excluding only United States (federal or state) taxes. If payment of any fees is not made when due and payable, a late fee will accrue at the rate of the lesser of one and one-half percent (1.5%) per month or the highest legal rate permitted by law.Excerpt from OneLogin's Terms of Service
(1) REGULATORY LANDSCAPE: Non-refundable billing terms in SaaS agreements are generally enforceable under California contract law. The 1.5% monthly late fee (approximately 18% annually) should be reviewed against applicable state usury or late fee regulations, though the clause includes a lawful rate cap. In the EU, automatic non-refund provisions in consumer contracts may require evaluation under the EU Consumer Rights Directive, though this agreement is primarily directed at business customers. (2) GOVERNANCE EXPOSURE: Low to Medium. The non-refund policy is standard in SaaS billing. The tax responsibility clause, which excludes only U.S. federal and state taxes, creates compliance obligations for non-U.S. organizations to assess and remit applicable local taxes including VAT or GST. (3) JURISDICTION FLAGS: Organizations in EU member states should assess VAT obligations on the subscription fees, as the agreement places tax compliance responsibility on the user. Canadian and APAC customers should similarly evaluate local indirect tax obligations. (4) CONTRACT AND VENDOR IMPLICATIONS: Enterprise agreements frequently negotiate pro-rated refund rights upon termination for cause or service level failures. This Terms of Service does not include such provisions, which should be flagged during vendor assessment. (5) COMPLIANCE CONSIDERATIONS: Finance and procurement teams should document the non-refundable billing terms and establish internal controls for subscription management to avoid payment for inactive or cancelled accounts. The tax exclusion clause should be reviewed by tax counsel for organizations operating outside the United States.
