This provision establishes that customers have no contractual right to a refund or cancellation of fees paid during an active term, regardless of service changes or other circumstances, with the limited exception of the warranty remedy described in Section 9.1.
The updated terms remove a contractual protection that previously prohibited Mixpanel from treating individually identifiable data as Usage Data. Under the revised language, Mixpanel may now classify data that identifies or is attributable to specific individuals as Usage Data, potentially making such data subject to uses and disclosures beyond what the Customer Content exclusion permits. This broadens the category of data Mixpanel may process and analyze under the Usage Data definition. The terms do not provide a mechanism to opt out of this reclassification.
View change record →The updated terms establish an automatic 7% fee increase mechanism that takes effect upon each subscription renewal. Previously, subscription fees remained fixed for the duration of the subscription term, with new pricing becoming effective only at the start of a new subscription term and only if the parties agreed in writing. Under the revised language, fees will now automatically escalate by 7% upon commencement of each renewal term unless the parties expressly agree otherwise in writing. This shifts the default pricing behavior from fixed-term rates to automatic annual escalation.
View change record →Under this clause, once fees are paid, including overage charges, they are not refundable and the subscription cannot be cancelled for a refund during the term; the agreement's only stated exception is the warranty remedy under Section 9.1, which provides a pro-rata refund of pre-paid fees only upon termination following Mixpanel's failure to correct a material nonconformity within a reasonable time.

"Fees paid hereunder, including A La Carte Fees, are non-cancellable during a Term, are non-refundable and shall be billed in U.S. Dollars.Excerpt from Mixpanel's Terms of Use
(1) REGULATORY LANDSCAPE: Non-refundable fee clauses in SaaS agreements are common but may interact with consumer protection laws in certain jurisdictions, particularly for customers classified as consumers rather than businesses. GDPR-related data processing obligations do not directly affect fee refundability. State consumer protection statutes may impose limitations on non-refundable provisions in specific contexts. (2) GOVERNANCE EXPOSURE: Low to Medium. For enterprise customers, non-refundable subscription terms are standard in SaaS contracting. The practical exposure is highest where customers prepay for annual or multi-year terms and subsequently reduce their usage or requirements mid-term. (3) JURISDICTION FLAGS: Certain EU member states and the UK impose mandatory consumer rights regarding cancellation and refunds, though these protections may not apply where the customer is a business rather than a consumer. Legal teams in EU or UK operations should confirm whether the business customer classification is appropriate and whether any local mandatory rights apply. (4) CONTRACT AND VENDOR IMPLICATIONS: The agreement provides a limited warranty remedy under Section 9.1 that permits termination and pro-rata refund of unused pre-paid fees upon Mixpanel's failure to correct a material nonconformity. This represents the only stated contractual pathway to a partial refund and should be documented in vendor risk assessments. (5) COMPLIANCE CONSIDERATIONS: Procurement teams should confirm that the non-refundable term is reflected in internal budget commitments and that any SLA or service credit provisions are separately negotiated in the Order Form.
