Unilateral Account Suspension and Termination

What it is

We may suspend or terminate your account or stop providing you with all or part of the services at any time for any reason, including, but not limited to, if we reasonably believe: (i) you have violated these Terms or our Code of Conduct; (ii) you create risk or possible legal exposure for us; or (iii) our provision of the services to you is no longer commercially viable.

Why it matters

This clause gives Microsoft near-unlimited discretion to terminate your account and cut off access to all services, stored data, purchased content, and subscriptions with limited notice and no requirement to show cause, which is particularly significant for users who store important files in OneDrive or have purchased digital content.

Consumer impact

Microsoft's Services Agreement governs all major consumer Microsoft products and contains provisions that materially limit consumer rights, including mandatory arbitration and a class action waiver for US users, a broad content license that allows Microsoft to use anything you post or store, and a unilateral right to suspend or terminate accounts with limited notice. Consumers face significant data exposure through Microsoft's broad collection and use practices across services, and limited financial recourse given liability caps set at the amount paid in the prior 12 months.
