"Customer grants Linear and its subcontractors a non-exclusive, worldwide, royalty-free, paid-up, transferable right and license to use, process, and display (to Users) User Submissions for the sole purpose of providing the Service to Customer. Except for the limited rights and licenses granted in this Agreement, Customer will own all right, title and interest in and to the User Submissions and there are no implied licenses under this Agreement.Excerpt from Linear's Terms of Service
REGULATORY LANDSCAPE: The User Submission license engages GDPR controller-processor obligations where User Submissions contain personal data of EU residents, as well as CCPA service provider limitations. The transferability of the license to subcontractors requires assessment of whether Linear's DPA at linear.app/dpa includes adequate subprocessor provisions. GOVERNANCE EXPOSURE: Medium. The license granted is limited to Service provision purposes, which is consistent with GDPR service provider and CCPA service provider models. However, the transferability to subcontractors without a defined subprocessor list in this document means the full scope of third-party access to User Submissions is not ascertainable from this Agreement alone. JURISDICTION FLAGS: EU and EEA Customers should verify that the DPA at linear.app/dpa includes an approved subprocessor list and mechanisms for notification of subprocessor changes, as required by GDPR Article 28. California Customers should assess whether the User Submission processing arrangement satisfies CCPA service provider requirements. CONTRACT AND VENDOR IMPLICATIONS: Procurement teams should review the DPA to identify the subprocessors authorized to process User Submissions and assess whether those entities satisfy applicable data protection requirements. The definition of User Submissions as anything Customer or Users post, upload, share, or store through the Service is broad and may include sensitive business data. COMPLIANCE CONSIDERATIONS: Data mapping exercises should document User Submissions as a distinct data category subject to Customer ownership but accessible by Linear and its subcontractors for Service provision. Teams should confirm that the DPA adequately governs the transfer of User Submissions to any subprocessors, including those outside the EU or EEA.
