ConductAtlas Analysis

Why it matters (compliance & governance perspective)

This provision establishes that organizations using free or trial tiers of the LangSmith Platform operate without the contractual protections available to paid subscribers, including no data retention rights following termination and no indemnification for third-party intellectual property claims. The thirty-day export right available to paid subscribers upon termination explicitly does not apply to No Charge Access.

The updated terms introduce a new deployment architecture option (BYOC) alongside existing Cloud and Hybrid options, giving customers more control over infrastructure placement. LangChain's explicit commitment to not use customer data for large language model training now has clear written language in the Terms, whereas the prior version only referenced 'products' generically. However, the expanded non-warranty clause now states the platform is not warranted to be 'accurate' or 'complete,' which broadens the disclaimers of liability. Customers should review which deployment option aligns with their infrastructure and compliance requirements.

Consumer impact (what this means for users)

Under this clause, Customers on Free Access Plans, Trial Access, or Beta Releases have no contractual right to export or recover Customer Data after termination of access, and receive no warranty coverage or indemnification protections. Continued use of the platform following a modification notice constitutes acceptance of the revised terms.

What you can do

⚠️ These actions may provide transparency or partial mitigation but may not fully address the underlying issue. Effectiveness varies by jurisdiction and individual circumstances.
  • Export Your Data
Export Customer Data from the LangSmith Platform prior to any termination or modification of No Charge Access; the thirty-day post-termination export right does not apply to No Charge Access tiers. Refer to docs.langchain.com for export procedures described in the Documentation.

ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

(1) REGULATORY LANDSCAPE: Where Personal Data is processed through No Charge Access tiers, GDPR and CCPA data subject rights obligations (including deletion and portability) may apply regardless of contractual limitations on data retention rights; the contractual disclaimer does not override applicable statutory rights. The FTC Act may engage if data retention limitations for free tiers are not clearly disclosed at the point of signup. (2) GOVERNANCE EXPOSURE: Medium. Organizations that pilot the LangSmith Platform on free or trial tiers and process Customer Data through those tiers may face data recovery limitations upon tier expiration or modification, with no contractual mechanism to retrieve that data. (3) JURISDICTION FLAGS: EU and EEA customers retain GDPR data subject rights including portability and erasure regardless of contractual tier limitations. California residents retain CCPA rights. Other jurisdictions may have varying statutory protections that interact with contractual disclaimers. (4) CONTRACT AND VENDOR IMPLICATIONS: Procurement teams evaluating LangSmith for pilot deployment should assess whether production or sensitive data is processed during trial or beta periods, as no data retention rights exist under this tier. Organizations should confirm that internal data governance policies restrict sensitive data from No Charge Access tiers. (5) COMPLIANCE CONSIDERATIONS: Compliance teams should classify No Charge Access deployments separately from paid subscriptions in data inventory and risk assessments, noting the absence of contractual data retention and indemnification protections. Transition from trial to paid subscription should trigger a review of data retention continuity.
