This analysis describes what LangChain's agreement states, permits, or reserves. It does not constitute a legal determination about enforceability. Regulatory applicability and practical outcomes may vary by jurisdiction, enforcement context, and individual circumstances. Read our methodology

ConductAtlas Analysis

Why it matters (compliance & governance perspective)

This provision establishes a permanent, irrevocable license over a broad category of intellectual contributions from Customer and its Users. Because the definition of Feedback includes ideas and proposals, not only formal product feedback, organizations should consider what internal controls govern employee submissions through platform interfaces or support channels.

Recent Activity

Medium May 22, 2026

The updated terms introduce a new deployment architecture option (BYOC) alongside existing Cloud and Hybrid options, giving customers more control over infrastructure placement. LangChain's explicit commitment to not use customer data for large language model training now has clear written language in the Terms, whereas the prior version only referenced 'products' generically. However, the expanded non-warranty clause now states the platform is not warranted to be 'accurate' or 'complete,' which broadens the disclaimers of liability. Customers should review which deployment option aligns with their infrastructure and compliance requirements.

ConductAtlas Analysis

Institutional analysis (regulatory & governance intelligence)

(1) REGULATORY LANDSCAPE: Feedback licenses of this type engage intellectual property law rather than specific data protection regulations; however, where Feedback inadvertently includes Personal Data, GDPR and CCPA frameworks may apply to how that data is retained and used. The FTC Act may engage if Feedback use practices are inconsistent with disclosures made to users. (2) GOVERNANCE EXPOSURE: Medium. The breadth of the Feedback definition (recommendations, suggestions, proposals, ideas, improvements) means that informal communications by Users through platform channels or support interactions may fall within scope, creating unintended IP assignment risk without formal documentation. (3) JURISDICTION FLAGS: Organizations in jurisdictions with employee IP ownership protections (including certain EU member states) should assess whether employee-generated Feedback submitted through the platform may create competing ownership claims. California Labor Code provisions governing employer ownership of employee inventions may also be relevant for California-based Users. (4) CONTRACT AND VENDOR IMPLICATIONS: B2B procurement teams should note that this license is irrevocable and perpetual, meaning it cannot be rescinded upon termination of the Agreement. Organizations with proprietary AI development workflows should assess whether operational communications with LangChain support or product teams constitute Feedback under this definition. (5) COMPLIANCE CONSIDERATIONS: Legal teams may want to establish internal guidance for employees on what types of communications to LangChain may constitute licensable Feedback under this provision, and whether internal approval workflows are warranted before submitting product improvement suggestions.
