What it is

Adyen may withhold settlement of captured transaction funds indefinitely when it suspects fraud, illegal activity, or likely chargebacks, pending completion of its own investigation or that of an acquirer, scheme owner, or nominated third party. No interest accrues on withheld funds unless the delay exceeds 30 days and is attributable to Adyen's own gross negligence or intent.

This analysis describes what Adyen's agreement states, permits, or reserves. It does not constitute a legal determination about enforceability. Regulatory applicability and practical outcomes may vary by jurisdiction, enforcement context, and individual circumstances. Read our methodology

ConductAtlas Analysis

Why it matters (compliance & governance perspective)

This provision authorizes Adyen to hold merchant settlement funds for an indeterminate period without an explicit maximum hold duration, creating potential liquidity risk for merchants with high transaction volumes. The interest threshold of 30 days attributable solely to Adyen's gross negligence or intent sets a high bar for merchants to receive compensation for delayed settlements.

Interpretive note: The interaction between this contractual withholding right and PSD2 settlement timing obligations under EU law is not addressed in the document and may constrain the practical scope of this provision for EU-based merchants.
