3847This Agreement will be governed by and construed in accordance with the laws of Australia without giving effect to its conflict of law and/or choice of law principles.3847This Agreement, and any dispute, claim, or controversy arising out of or relating to this Agreement, Seller’s use of the Whatnot Platform, or Seller’s relationship with Whatnot, will be governed by and resolved exclusively in accordance with the governing law and dispute resolution provisions of the Terms of Service, including Section 21, “Arbitration Agreement; Mass Arbitration Procedures; Class Action Waiver,” and Section 22, “Governing Law and Jurisdiction.” For clarity, the parties agree that arbitration under the Terms of Service is the exclusive forum and procedure for resolving any such dispute, claim, or controversy, except only to the extent the Terms of Service expressly permit or require a dispute to proceed outside arbitration.
3848To the fullest extent permitted by law, each party waives trial by jury in any action, proceeding, or counterclaim brought by or on behalf of either party with respect to any matter relating to this Agreement.3848The parties waive any right to bring any such dispute, claim, or controversy in court except as expressly permitted by the Terms of Service.
3849Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in Los Angeles, California and the parties irrevocably consent to the personal jurisdiction and venue therein.Removed
