The updated terms introduce Upwork Now, a pilot feature with modified terms for how hiring and freelancer sourcing operate. Clients using Upwork Now must maintain a minimum positive account balance or active payment method to send offers or messages to freelancers. The agreement states that freelancers may receive multiple simultaneous invitations and remain free to decline or accept offers from other sources without explanation. Due dates specified when posting jobs are informational only and do not create binding commitments unless explicitly included in the signed contract. Upwork does not guarantee that automatically recommended freelancers are available, qualified, or interested, and reserves the right to modify or suspend beta features at any time without notice. California residents may have rights under CCPA regarding personal information used in AI training. The enforceability of an irrevocable license over third-party-owned work product may be contested in jurisdictions with strong intellectual property protections. (4) CONTRACT AND VENDOR IMPLICATIONS: Enterprise procurement teams should assess whether use of Upwork for projects involving confidential or proprietary deliverables creates a conflict with upstream client confidentiality agreements or IP assignment provisions. Vendor assessments should include a review of the opt-out mechanism status for all platform accounts. The indemnification clause in Section 12 places liability for third-party IP claims arising from Upwork's AI use of submitted content on the user, which represents a significant liability shift. (5) COMPLIANCE CONSIDERATIONS: Compliance teams should confirm that all platform accounts have the AI training opt-out enabled where required by client contracts or internal IP policies. Data mapping exercises should be updated to reflect that work product exchanged on Upwork may be processed for AI training purposes under this license. Legal teams should assess whether the irrevocable and perpetual license characterization creates disclosure obligations under client service agreements.
