Teachable may withhold a portion of Creator sales revenue as a reserve for an amount and duration determined at Teachable's sole discretion, and may change both the reserve amount and reserve period with notice only through Knowledge Base page updates. Payment gateway fees are similarly subject to unilateral change.
This analysis describes what Teachable's agreement states, permits, or reserves. It does not constitute a legal determination about enforceability. Regulatory applicability and practical outcomes may vary by jurisdiction, enforcement context, and individual circumstances. Read our methodology
This provision establishes that Teachable's payment reserve and fee structure for Creators using Teachable Payments is not fixed at contract formation and may be modified unilaterally. Creators accept fee and reserve changes through continued use of the payment gateway, creating variable cost and cash flow exposure that is not bounded by the document's stated terms.
Under this clause, Creators using Teachable Payments are subject to reserve withholding and gateway fees that Teachable may change at sole discretion, with changes communicated through Knowledge Base updates rather than direct notice. Creators accept revised terms through continued use of the payment gateway.

"By using Teachable Payments You agree that Teachable may place a portion of Your school sales in reserve for a period of time to cover losses, chargebacks, refunds, etc. The current reserve period and amount are located on our Knowledge Base page regarding Teachable Payments. The amount of reserves and the length of time in which they are held are subject to change at Teachable's sole discretion. Should the reserve period or the amount withheld change, Teachable will make reasonable efforts to update the Knowledge Base page to communicate these changes. Fees for Teachable Payments may be found on the Teachable Knowledge Base page. All Teachable Payment gateway fees will be deducted before the funds are sent to the Creator. The fees associated with Teachable Payments are subject to change, at Teachable's sole discretion.Excerpt from Teachable's Terms of Use
(1) REGULATORY LANDSCAPE: Unilateral modification of payment terms may engage state consumer protection statutes and, for EU-based Creators, EU consumer law requirements regarding fair commercial practices. The FTC Act unfair or deceptive practices standard may be relevant if material fee changes are not communicated adequately. Payment reserve practices may also engage state money transmission regulations depending on the volume and duration of funds withheld. (2) GOVERNANCE EXPOSURE: Medium. The combination of unilateral fee modification and reserve amount and duration changes creates variable financial exposure for Creator businesses. The notification mechanism of Knowledge Base page updates rather than direct notice may not satisfy adequate disclosure requirements in all jurisdictions. (3) JURISDICTION FLAGS: EU and EEA Creators may have protections under the Platform-to-Business Regulation (P2B Regulation, EU 2019/1150) requiring adequate advance notice of fee changes. California-based Creators may have protections under California's unfair business practices framework. (4) CONTRACT AND VENDOR IMPLICATIONS: Creator businesses relying on Teachable Payments as a primary revenue channel should assess whether the unilateral reserve and fee modification rights create sufficient financial risk to require contractual protections or alternative payment gateway arrangements. (5) COMPLIANCE CONSIDERATIONS: Legal teams advising Creator businesses should monitor the Teachable Knowledge Base for reserve and fee changes, and assess whether the notification mechanism is sufficient to trigger contract review rights or termination rights under applicable law.
