Unilateral Terms Modification

Medium severity
Share 𝕏 Share in Share

Why it matters

Your agreement with Shopify can change without your explicit consent, and simply continuing to use your store can bind you to new obligations you may not have reviewed.

Consumer impact

Shopify merchants agree to mandatory arbitration and waive their right to join class action lawsuits, significantly limiting legal recourse if disputes arise with Shopify. Shopify can suspend or terminate a merchant's store at any time, potentially disrupting a business with little or no notice, and Shopify's financial liability is capped at amounts paid in the previous 12 months. You can opt out of the arbitration clause by sending written notice to Shopify within 30 days of first accepting the Terms, as specified in the dispute resolution section.

Applicable agencies

  • FTC
Unilateral modification clauses that bind merchants to new terms without explicit consent may be scrutinized as unfair or deceptive commercial practices under the FTC Act.
