API Provider agrees to indemnify, defend, and hold harmless Rapid and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, fees (including reasonable attorneys' fees), and expenses arising out of or related to: (a) any claim that the APIs or API Content/Terms provided by the API Provider infringe, misappropriate, or violate any intellectual property rights of any third party; (b) any breach of applicable laws, including but not limited to data privacy regulations; (c) any harm caused to other users of the platform through the misuse of the APIs or API Content/Terms.
