What it is

This provision authorizes Perplexity to update the Agreement at any time, with changes effective upon notice; continued use of the API constitutes acceptance. Perplexity commits to using commercially reasonable efforts to provide advance notice of material and adverse changes, but this is not an absolute obligation.

This analysis describes what Perplexity AI's agreement states, permits, or reserves. It does not constitute a legal determination about enforceability. Regulatory applicability and practical outcomes may vary by jurisdiction, enforcement context, and individual circumstances. Read our methodology

ConductAtlas Analysis

Why it matters (compliance & governance perspective)

The unilateral amendment mechanism means that the contractual terms governing API access may change without Customer's affirmative consent, with continued API use constituting acceptance. The 'commercially reasonable efforts' notice standard for material changes does not guarantee advance notice in all circumstances.

Perplexity may update this Agreement from time to time, with such updates becoming effective upon notice to the Customer (or when the Customer otherwise becomes aware of the update). Perplexity will use commercially reasonable efforts to provide the Customer with prior written notice of any update that materially and adversely affects the Customer's rights or obligations. By continuing to access or use the Services or API Platform after receiving notice of an update to this Agreement (or otherwise becoming aware of the update), Customer agrees to be bound by the revised Agreement.
