ConvertKit Terms of Service

This document is the Kit (formerly ConvertKit) Terms of Service, governing use of Kit's email marketing, automation, commerce, and creator monetization platform by customers of Kit, Inc., a Delaware corporation. The agreement states that users grant Kit a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute user content as necessary to provide the service, and the terms authorize Kit to suspend or terminate accounts for violations of its acceptable use policy without prior notice. The agreement asserts broad indemnification obligations requiring users to defend and hold Kit harmless from third-party claims arising from user content, user conduct, or violations of these terms, and disclaims all warranties on an as-is basis with a liability cap generally limited to amounts paid in the prior twelve months, provisions that are standard in B2B SaaS but operationally significant for business users relying on the platform for revenue-generating activities. The terms engage anti-spam regulations including the CAN-SPAM Act and CASL, as well as consumer protection frameworks administered by the FTC, and the email marketing context creates potential interactions with GDPR and applicable EU/UK data protection law for users with subscribers in those jurisdictions. Users operating commerce and paid newsletter features should additionally evaluate the terms governing payment processing, payout eligibility, and Kit's right to withhold or reverse payments pending investigation of suspected policy violations.
