| > | tion obtained through the API for remarketing, customer relationship management, | ||||
| > | audience building, user profiling, data aggregation, marketing to individuals o | ||||
| > | n or off the Company Offering, or any other purpose not expressly permitted unde | ||||
| > | r this Agreement. | ||||
| 4928 | Your Applications. You agree to monitor the use of Your Applications for any act | ||||
| > | ivity that violates applicable laws, rules, and regulations or any terms and con | ||||
| > | ditions of this Agreement, including any fraudulent, inappropriate, or potential | ||||
| > | ly harmful behavior, and promptly restrict any offending users of Your Applicati | ||||
| > | ons from further use of Your Applications. You agree to provide a resource for u | ||||
| > | sers of Your Applications to report abuse of Your Applications. As between you a | ||||
| > | nd us, you are responsible for all acts and omissions of your end users in conne | ||||
| > | ction with Your Application and their use of the API, if any. You agree that you | ||||
| > | are solely responsible for posting any privacy notices and obtaining any consen | ||||
| > | ts from your end users required under applicable laws, rules, and regulations fo | ||||
| > | r their use of Your Applications. | ||||
| 4929 | Support; Updates. This Agreement does not entitle you to any support for the API | ||||
| > | . You acknowledge that we may update or modify the API from time to time and at | ||||
| > | our sole discretion (in each instance, an "Update"), and may require you to obta | ||||
| > | in and use the most recent version of the API. Updates may adversely affect how | ||||

| > | e any changes to the Applications that are required for integration as a result | ||||

| > | ormation to or through the API or the Company Offering, you consent to all actio | ||||

| > | t Privacy Policy and all applicable data protection and privacy laws in connecti | ||||

| 4932 | Intellectual Property Ownership; Feedback. You acknowledge that, as between you | ||||

| > | ght, title, and interest, including all intellectual property rights, in and to | ||||

| > | intellectual property rights in the API and will fully cooperate with us, in any | ||||
| > | legal action taken by us to enforce our intellectual property rights. If you or | ||||

| > | tions or materials to us by mail, email, telephone, or otherwise, suggesting or | ||||

| > | xpenses of whatever kind, including attorneys' fees, arising from or relating to | ||||
| > | (a) your use or misuse of the API, (b) your breach of this Agreement, and (c) Y | ||||
| > | our Applications, including any end user's use thereof. In the event we seek ind | ||||
| > | emnification or defense from you under this provision, we will promptly notify y | ||||
| > | ou in writing of the claim(s) brought against us for which we seek indemnificati | ||||
| > | on or defense. We reserve the right, at our option and in our sole discretion, t | ||||
| > | o assume full control of the defense of claims with legal counsel of our choice. | ||||

| 4936 | Term and Termination. The term of this Agreement commences when you first access | ||||

| > | e or suspend this Agreement, any rights granted herein, and/or your licenses und | ||||

| > | t participé en envoyant un message dans le chat ou en effectuant un achat pendan | ||||
| > | t ce livestream. À partir de cette liste, l’Organisateur sélectionnera les gagna | ||||
| > | nts de manière aléatoire au moyen d’un générateur de nombres aléatoires vérifié. | ||||
| > | Le nombre de gagnants sélectionnés par livestream relève de la seule discrétion | ||||
| > | de l’Organisateur. | ||||
| 5282 | Chaque gagnant sera annoncé par son nom d’utilisateur Whatnot directement dans l | ||||

| > | problèmes de connectivité réseau ou Internet, les interruptions de livestream, l | ||||
| > | a perte ou le retard de messages dans le chat, les défaillances de matériel ou d | ||||
| > | e logiciel informatique, ou toute autre perturbation susceptible d’affecter la c | ||||
| > | apacité à participer à l’Opération ou à l’administrer. | ||||
| 5297 | L’Organisateur se réserve le droit d’annuler, de mettre fin à, de modifier ou de | ||||
| > | suspendre l’Opération, en tout ou en partie, si celle-ci ne peut se dérouler co | ||||
| > | mme prévu en raison d’une infection par un virus informatique, de bogues, d’une | ||||
| > | altération, d’une intervention non autorisée, d’une fraude, de défaillances tech | ||||
| > | niques ou de toute autre cause échappant au contrôle raisonnable de l’Organisate | ||||
| > | ur qui compromettrait ou affecterait l’administration, la sécurité, l’équité ou | ||||
| > | le bon déroulement de l’Opération. | ||||
| 5298 | 8. Décharge de responsabilité et limitation de responsabilité | ||||
| 5299 | En participant à l’Opération, chaque participant accepte de dégager de toute res | ||||
| > | ponsabilité et de garantir l’Organisateur, Whatnot Europe Limited et chacune de | ||||
| > | ses sociétés mères, sociétés affiliées, filiales, agences de publicité et de pro | ||||
| > | motion, ainsi que l’ensemble de leurs mandataires sociaux, administrateurs, sala | ||||
| > | riés, agents et représentants respectifs (collectivement, les « Parties Dégagées | ||||
| > | ») contre toutes réclamations, pertes, dommages, responsabilités, coûts et frai | ||||
| > | s (y compris les frais de justice raisonnables) découlant de ou liés à : (a) la | ||||
| > | participation à l’Opération ou à toute activité liée à l’Opération ; (b) l’accep | ||||
| > | tation, la possession, l’utilisation ou le mésusage de tout prix ; ou (c) toute | ||||
| > | violation du présent Règlement officiel par le participant. | ||||
| 5300 | La décharge qui précède ne s’applique pas à la responsabilité résultant d’une fr | ||||
| > | aude, d’une faute intentionnelle ou d’une faute lourde des Parties Dégagées. Auc | ||||

| 5302 | À l’issue de l’Opération, l’Organisateur peut solliciter le consentement d’un ga | ||||
| > | gnant à l’utilisation de son nom d’utilisateur Whatnot, de sa ville ou de son pa | ||||
| > | ys de résidence et de toute déclaration faite au sujet de l’Opération à des fins | ||||
| > | publicitaires, de communication et promotionnelles, sur tout support, sans cont | ||||
| > | repartie supplémentaire, sauf là où la loi l’interdit. Un gagnant peut refuser u | ||||
| > | ne telle demande sans perdre son droit à recevoir un prix. | ||||
| 5303 | En participant à l’Opération, chaque participant reconnaît et accepte l’annonce | ||||
| > | publique des noms d’utilisateur Whatnot des gagnants dans le chat du livestream, | ||||
| > | dans le cadre du processus de notification des gagnants décrit à l’article 4 du | ||||
| > | présent Règlement officiel. Cette annonce constitue un élément nécessaire de l’ | ||||
| > | administration de l’Opération et se distingue de toute utilisation publicitaire | ||||

| 5304 | 10. Confidentialité et protection des données | ||||
