286Exhibit C Hosted Platform Access 1.
287Scope and Incorporation.
288This Exhibit C forms part of the Meta Model API Terms of Service (the “Terms”) and applies solely where and to the extent you access or use the Meta Materials through a Hosted Platform (defined below).
289This Exhibit C does not apply to your access or use of the Meta Materials through the Meta Model API.
290To the extent of any conflict or inconsistency between this Exhibit C and the main body of the Terms with respect to access through a Hosted Platform, this Exhibit C controls.
291Capitalized terms used but not defined in this Exhibit C have the meanings given to them in the Terms. 2.
292Definitions. .
293For purposes of this Exhibit C: (a) “Hosted Platform” Hosted Platform” means a third-party cloud platform authorized by Meta to host and provide access to the Meta Materials; (b) “Platform Provider” means the operator of a Hosted Platform; (c) “Platform Agreement” means your agreement with a Platform Provider governing your use of its Hosted Platform; and (d) “Platform Account Data” means any data or information relating to you, your account with a Platform Provider, or your access to or use of the Meta Materials through a Hosted Platform that a Platform Provider discloses or otherwise makes available to Meta. 3.
294Platform Agreement and Relationship of the Parties.
295Your access to and use of a Hosted Platform is governed by your Platform Agreement, in addition to the Terms as modified by this Exhibit C.
296Meta may enforce these Terms with respect to your access to and use of the Materials through a Hosted Platform. 4.
297Accounts and API Keys.
298Section 3.1 (Accounts and Keys) of the Terms does not apply.
299You are not required to create or maintain a Managed Account or a Meta Account, and Meta will not issue you a Meta Model API key, in order to access the Meta Materials through a Hosted Platform.
300Credentialing and access control are administered by the Platform Provider under your Platform Agreement. 5.
301Your Content.
302Your Content is processed within the Hosted Platform.
303Meta does not receive or process your Content, including Inputs or Outputs, in connection with your access to the Meta Materials through a Hosted Platform.
304Meta does not use such Content to train, develop, evaluate, or improve Meta’s artificial intelligence models, products, or services in connection with that access.
305The Platform Provider processes your Content under your Platform Agreement and not on Meta’s behalf. 6.
306Platform Account Data.
307A Platform Provider may disclose Platform Account Data to Meta in connection with its arrangement with Meta.
308Platform Account Data may include, without limitation, your organization or company name and domain; account, billing, or other identifiers assigned by the Platform Provider; your country, state, or region; subscription and entitlement details; consumption and usage volumes; and revenue, fee, and billing metrics.
309The categories, granularity, and frequency of Platform Account Data are determined by the Platform Provider, vary by Hosted Platform, and may change over time. 7.
310Meta’s Use of Platform Account Data.
311Meta may use Platform Account Data to operate, offer, administer, support, measure, and secure the Meta Materials and to administer its commercial arrangements with Platform Providers, in each case in accordance with the Privacy Policy.
312Meta’s obligations under the Terms with regard to data apply only to Platform Account Data that the Platform Provider makes available to Meta. 8.
313Platform Provider Responsibility for Platform Account Data.
314As between you and Meta, the Platform Provider, and not Meta, determines and controls what data it collects from you and what Platform Account Data it discloses to Meta.
315You should review your Platform Agreement and the Platform Provider’s applicable privacy notice to understand what data the Platform Provider collects about you and what it discloses to Meta.
316Nothing in this Exhibit C is a representation or warranty by Meta regarding any Platform Provider’s data practices. 9.
317Data Protection.
318The MGPT applies only to the extent Meta processes personal data on your behalf in connection with your access to the Meta Materials through a Hosted Platform. 10.
319Discounted Services.
320Section 6 (Discounted Services) of the Terms does not apply to your access to the Meta Materials through a Hosted Platform. 11.
321Fees and Taxes.
322Section 13 (Fees and Taxes) of the Terms does not apply as between you and Meta.
323The applicable Platform Provider will surface, calculate, invoice, and collect all fees and applicable taxes for your access to the Meta Materials through its Hosted Platform in accordance with your Platform Agreement. 12.
324Disclaimer.
325WITHOUT LIMITING SECTION 16.1 OF THE TERMS, META MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND REGARDING ANY HOSTED PLATFORM OR ANY PLATFORM PROVIDER, INCLUDING ITS SERVICES, INFRASTRUCTURE, SECURITY, AVAILABILITY, SUPPORT, OR PERFORMANCE, AND META IS NOT LIABLE FOR ANY ACT OR OMISSION OF A PLATFORM PROVIDER OR FOR ANY LOSS OR DAMAGE ARISING FROM YOUR USE OF A HOSTED PLATFORM. 13.
326Assignment and Delegation.
327Notwithstanding Section 20 (General) of the Terms, Meta may assign its rights and delegate performance of its obligations relating to the hosting and delivery of the Meta Materials to a Platform Provider in order to make the Meta Materials available through that Platform Provider’s Hosted Platform.
328No delegation under this Section causes a Platform Provider to process data on Meta's behalf.
